Agreement
These Terms of Service (“Terms”) form a binding agreement between you and Modelyn AI (“Modelyn”, “we”, “us”) regarding your access to modelyn.uk and the Modelyn workspace. By using the service, you agree to these Terms.
If you use Modelyn on behalf of an organisation, you represent that you have authority to bind that organisation and “you” includes that organisation.
The service
Modelyn provides CFD workflow intelligence: intent capture, engineering dossier generation, continuous validation, and export of engineering artifacts. Modelyn is not a CFD solver and does not guarantee simulation accuracy, solver convergence, or fitness for a particular engineering outcome.
Features may be offered on an early-access or preview basis. We may modify, suspend, or discontinue any part of the service with reasonable notice where practicable.
Eligibility and accounts
You must be at least 18 years old and use the service for lawful professional purposes. You are responsible for maintaining the confidentiality of access credentials and for activity under your account.
Acceptable use
You agree not to:
- Reverse engineer, scrape, or attempt to extract source code or models except where permitted by law.
- Upload unlawful content or infringe third-party intellectual property or confidentiality obligations.
- Interfere with platform security, availability, or other users’ access.
- Use the service to develop a competing product through systematic extraction of Modelyn outputs.
- Misrepresent engineering validation status or export readiness outside what the workspace confirms.
Your content and engineering data
You retain ownership of engineering intent, dossier inputs, and other content you submit (“Customer Content”). You grant Modelyn a limited licence to host, process, and display Customer Content solely to provide and improve the service, including running validation and generating exports you request.
You are responsible for ensuring you have the right to submit Customer Content and that its use through Modelyn complies with your employer, client, or regulatory obligations.
Modelyn intellectual property
Modelyn owns the platform, software, documentation, branding, and all related intellectual property except Customer Content. No rights are granted except as expressly stated in these Terms.
Confidentiality
Each party may receive confidential information from the other. Both parties will use reasonable care to protect it and use it only for the purposes of the service. This obligation does not apply to information that is public, independently developed, or lawfully obtained from a third party without restriction.
Disclaimer
The service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Modelyn disclaims all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
Engineering outputs, validation results, and export packages are decision-support tools. You remain responsible for professional review before reliance in safety-critical, certification, or production engineering contexts.
Limitation of liability
To the fullest extent permitted by law, Modelyn will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business opportunity, arising from or related to the service.
Modelyn’s total liability for any claim arising under these Terms is limited to the greater of (a) amounts paid by you to Modelyn for the service in the twelve months before the claim or (b) one hundred pounds sterling (GBP 100), except where liability cannot be limited by applicable law.
Indemnity
You will indemnify and hold harmless Modelyn from claims arising out of your Customer Content, misuse of the service, or breach of these Terms, except to the extent caused by Modelyn’s intentional misconduct or negligence.
Suspension and termination
We may suspend or terminate access if you breach these Terms, pose a security risk, or if required by law. You may stop using the service at any time. Provisions that by nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnity — will survive.
Governing law
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, subject to any mandatory consumer protections in your country of residence.
Changes to these Terms
We may update these Terms from time to time. Continued use after the updated effective date constitutes acceptance. If you do not agree, you must stop using the service.
